FIRST.- GENERAL CONDITIONS OF USE.

Hereinafter you will find the terms and conditions of use that will govern the commercial relationships that will arise between SIMBS SMART GLOBAL BUSINESS S.L. (hereinafter SIMBS S.L.) and consumers and users through the web https://simbs.es/ (hereinafter SIMBS.ES) owned by SIMBS S.L. Acceptance of these conditions of use implies that the consumer and/or user:

Has read and understood the terms and conditions of use set forth herein.
Is a natural person of legal age with the capacity to contract.
Assumes all obligations set forth herein.

All agreements contained in these terms and conditions of use refer to all content and services offered by SIMBS S.L. through its SIMBS.ES website. These conditions will have an indefinite period of validity and will be applicable to all commercial and/or promotional relationships made through the website owned by SIMBS S.L.

Access to and use of the website is the responsibility of the consumer and/or user, thus, they both agree to use the contents in a diligent, correct and lawful manner, thus exempting the owner of the SIMBS.ES website, from any illegitimate use the consumer and/or user may give or carry out in or through the website.

For the purposes of the terms and conditions of use included in the SIMBS S.L. website, “Consumer” shall be used to refer to those “natural persons who act outside the scope of their commercial activity, business, trade or profession. Consumers are also legal entities and non-legal entities that act in a non-profit way in a field outside the scope of their commercial or business activity” as established in article 3 of the Consolidated Draft of the General Law for the Defense of Consumers and Users and other Complementary Laws (Ley General para la Defensa de los Consumidores y Usuarios y otras Leyes Complementarias), approved by the Royal Legislative Decree 1/2007 and other complementary laws in force.

SIMBS S.L. reserves the right to unilaterally modify the aforementioned terms and conditions of use, without such a change affecting the commercial relationships that were established prior to said modification.

SECOND.- GENERAL CONDITIONS OF USE.

SIMBS SMART GLOBAL BUSINESS S.L. with registered offices in Calle Gomis no. 34 bajos, C.P. 08023, Barcelona (Spain), with Tax Identification Number B67297275, duly registered on 12 December 2018 in the Barcelona Mercantile Registry (Registro Mercantil de Barcelona), in Tomo46663, Folio57, Sheet B 527023, Inscription 1, with contact email oscar@simbs.usand with the customer service telephone number of +1 (940) 268 4861, from Monday to Friday from 9:00 a.m. to 6:00 p.m., ratifies your agreement with the terms and conditions set out below.

For the purposes of the SIMBS S.L. website, “user” shall be used to refer to those consumers registered in the SIMBS.ES website through the creation of an account, of which the user is responsible, along with the veracity of the personal data facilitated to SIMBS S.L. through it.

These terms and conditions of use regulate the commercial and/or promotional relations between SIMBS SMART GLOBAL BUSINESS S.L. and consumers and/or users, the acceptance of said conditions being perfected with access to and, after being informed of said terms and conditions, continual browsing of the SIMBS.ES website.

All clauses contained in these terms and conditions apply to all commercial and / or promotional relationships that are made between consumers and/or users established in Spain and SIMBS S.L., through the SIMBS.ES website.

The terms and conditions of use valid and applicable in Spain are those corresponding to the version available in Spanish. The versions available in other languages fulfill only informative functions.

THIRD.- DESCRIPTION OF THE SERVICE OFFERED ON THE WEB

The SIMBS.ES website aims to make the consumer and/or user aware of and informed about the services provided by SIMBS SMART GLOBAL BUSINESS S.L. as a Spanish company specializing in the national and international trade sector.

The services offered on the web fall into three of the main areas of commerce: manufacturing, logistics and customs clearance. In short, SIMBS S.L. offers consumers and/or users to manage and be in charge of the preparation of any of their products that must be imported or exported, the coordination and implementation of the manufacturing process, the management of import or export (documentation, procedures, signatures, advice and monitoring) and guarantees the ongoing monitoring and control of the process.

FOURTH.- USE OF THE SIMBS.ES WEB PAGE

The SIMBS.ES website, owned by SIMBS S.L., is designed for personal and non-commercial use. The consumer and/or user agrees to use this website in accordance with the Law, adjusting his or her behavior to the current legislation and to these terms and conditions of use.

The consumer and/or user consents and accepts that he or she cannot carry out any of the following actions, without having written and previous authorization from SIMBS S.L .:

Decompile the SIMBS.ES website by any manual and / or automatic means for the purpose of non-personal use;
Include the SIMBS.ES web page in a search index;
Use robots and/or software on the SIMBS.ES website intended to prevent or limit access to it;

FIFTH.- CONDITIONS APPLICABLE TO THE CONSUMER AND/OR USER.

The consumer and/or user agrees to make appropriate use of the content and services that SIMBS S.L. offers through its website SIMBS.ES. Access and use of the website is the sole responsibility of the consumer and/or user, thus, both of them agree and commit to use the content diligently, correctly and lawfully, thus exempting SIMBS S.L. from any illegitimate and/or illegal use that may be made by the consumer and/or user of this website.

SIXTH.- CANCELLATION OF THE USER ACCOUNT

The user is solely responsible for the proper cancellation of his or her account and/or session. You can cancel your account at any time by sending an email to oscar@simbs.us. Once your account is canceled, all your content will be deleted within a maximum period of thirty (30) calendar days. The User can cancel his account at any time.

SIMBS S.L. reserves the right to cancel an account or prevent the use of the service to the user who breaches these terms and conditions of use, and / or when the user performs actions that are contrary to the legal system.

Likewise, SIMBS S.L. reserves the right to cancel an account when users make an illegal, improper use or against public order and good customs of the blog owned by SIMBS S.L. For such purposes, the IP addresses of the users will be stored.

To inform consumers and/or users that Personal Data is considered by SIMBS S.L., to be any information linked or that may be associated with a natural person, in the terms of the General Data Protection Regulation and the relevant judicial precedents.

NINTH.- LIMITATION OF LIABILITY

SIMBS S.L. will not be held responsible nor liable for any damage and/or loss and/or benefits not obtained by the consumer and/or user or any third party that is harmed as a result of the data and/or content that consumers and/or users and/or suppliers may directly or indirectly issue and/or share on their own for any reason, and at any time and in any way through the SIMBS.ES website.

SIMBS S.L. does not guarantee that its website SIMBS.ES will work, without delays or interruptions due to fortuitous circumstances or force majeure, so SIMBS S.L. is not responsible for any damage and/or loss and/or benefits not obtained by the consumer and/or user or any other third party who is harmed as a result of them.

SIMBS S.L. will not be responsible for potential failures that may occur through its communications, including the deletion, incomplete transmission or delays in it, not committing itself either to the transmission network being operational at all times. SIMBS S.L. will not be responsible nor liable either in the event that a third party violates the security measures established by SIMBS S.L. and/or circulates and/or transmits computer viruses.

SIMBS S.L. as a service provider, does not control the use of the services that the consumer and/or user performs; thus, SIMBS S.L. is not responsible nor liable for the use and/or the content that, in contravention of the laws or these terms and conditions of use, the consumer and/or user may make of it. For these purposes, the consumer and/or user must use the services in accordance with current regulations applicable to this regard.

In the event that SIMBS S.L. had knowledge of the existence of content that could violate current legislation or the current terms and conditions of use or that it could be use for fraudulent, illegal and/or unauthorized purposes, SIMBS S.L. will suspend the provision of services totally or partially by itself, without the need for prior authorization from the consumer and/or user, by eliminating the infringing content or by any other measure that it deems necessary to avoid continuity in the commission of the offense or the detected offense, and the consumer and/or user will renounce to exercise any claim or right, of any kind.

Notwithstanding the aforementioned, SIMBS S.L. reserves the right to inform the administrative or judicial authorities of those facts that could constitute an illicit activity, without the need to previously notify the consumer and/or user.

TENTH.- INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS.

SIMBS S.L. is the owner of the industrial and intellectual property rights and has any other legal title, right, license, or authorization, which allows the use of the materials included in the SIMBS.ES website, in particular the photographs, descriptions, translations and graphics, amongst others.

Therefore, it is prohibited, by any means and / or form, its use, exploitation, copying, reproduction, as well as its elimination, injury, alteration and / or modification, registration and / or registration request, either partial or total, temporary or definitive of the same and / or of any other present and / or future similar without the express and written authorization of SIMBS S.L.
